Master Service Agreement

1. Scope of Services
RelayRigs provides a transportation technology marketplace connecting drivers, owner operators, carriers, and RV owners with assignments, relief loads, and recovery/delivery opportunities, along with related account, verification, and payment-status features (the "Services").
2. Term
This Master Service Agreement ("MSA") becomes effective when you first access the Platform and continues until terminated as described below.
3. Fees & Payment
Fees for any paid plan are as displayed on our Pricing page at the time of purchase and are billed according to our Refund & Cancellation Policy.
4. Service Availability & Support
RelayRigs is currently in a pre-launch phase and does not guarantee a specific uptime service level at this stage. RelayRigs uses commercially reasonable efforts to keep the Platform available and provides support via support@relayrigs.com.
5. What Happens When Something Breaks
If the Platform experiences an outage or defect materially affecting your use, RelayRigs will use commercially reasonable efforts to investigate and restore service, and will communicate planned maintenance in advance where practicable. RelayRigs is not liable for delays or failures caused by third-party services it depends on (including the RelayRigs mobile app backend, payment processors, or ELD providers).
6. Confidentiality
Each party will keep the other party's non-public business information confidential and use it only as needed to perform under this MSA.
7. Warranties & Disclaimers
During this pre-launch period, the Platform is provided "as is" and "as available," without warranties of any kind, express or implied, including any warranty of merchantability, fitness for a particular purpose, or non-infringement.
8. Limitation of Liability
RelayRigs' total liability under this MSA will not exceed the total fees you paid RelayRigs in the twelve (12) months preceding the claim, consistent with the Limitation of Liability clause in our Terms of Service.
9. Termination
Either party may terminate this MSA for material breach that is not cured within 30 days of written notice. RelayRigs may also suspend or terminate access for violations of the Terms of Service or Acceptable Use Policy.
10. Force Majeure
Neither party is liable for any delay or failure to perform resulting from causes beyond its reasonable control, including natural disasters, internet or telecommunications failures, or third-party service outages.
11. Governing Law & Dispute Resolution
This MSA is governed by the laws of the State of Florida. Any dispute arising under this MSA will be brought exclusively in the state or federal courts located in Florida.
12. Entire Agreement
This MSA, together with the Terms of Service, Privacy Policy, and any applicable order form, constitutes the entire agreement between you and RelayRigs regarding the Services and supersedes any prior agreements on the same subject.
